      In a case involvng a Texas investment corporation against a lender (that negotiated a void contract allegedly for a Delaware Corporation that had been out of business for over five years) the Judge found that arguments that should have been made by a prior attorney had not been made timely. 

      The first step of any contract is to make sure the corporation is actually in existence. If this businessman had not traveled from Texas for court, he stood a chance of having a judgment against his corporation through an indemnity clause in an assignment contract. Details matter. 

     Contact me if you want to register your business or if your business has a dispute with another business. Whether it is a $10 million dollar contract- like that one or $1,000 contract, don't rely on the word of a third person. Courts will rarely help you later if you skip this step.

        While working for a firm that was defending a client for drug trafficking charges, the Rodriguez v. US case was decided. Promptly notified attorney that the Supreme Court found that the 8 minute  detention for the dog sniff in that case was not independently supported by individualized suspicion which enabled the attorney in the pending matter to negotiate a more favorable outcome for a young man who wanted to return to college sports. Client thought we worked magic when it was merely the power of having the law on your side.

      As a side note, his mother was surprised to hear that  summertime crimes while a student is not enrolled in classes do not stop those students from receiving student financial aid in the fall.  Get advice from your college financial aid counselor or contact me to find out for sure.
